1. ACCEPTANCE AND SCOPE

1.1 These Terms and Conditions ("Terms") govern your access to and use of the Revenue Labs Limited website, platform, and services (collectively, the "Services"). By accessing our website, creating an account, or using our Services, you agree to be bound by these Terms.

1.3 We provide AI-powered GTM intelligence systems that process data from connected systems such as CRM, call recording, and product usage platforms. Our Services include freemium access, trial accounts, and paid subscriptions.

1.4 Revenue Labs trades with businesses only and does not provide services suitable for consumers. You represent that you are accessing our Services in the course of business.

2. SERVICES AND ACCESS

2.1 Subject to your compliance with these Terms, Revenue Labs grants you access to the Services, which may include:
- Website browsing and content access
- Freemium platform features with usage limitations
- Trial accounts for evaluation purposes
- Paid subscription services (subject to separate Service Agreement)
- AI-powered contextual intelligence and reporting tools

2.2
We provide Services on a standard basis and do not customise them for individual users. It is your responsibility to evaluate whether our Services meet your needs.

We reserve the right to suspend access to perform essential maintenance, address security issues, or enforce these Terms. We will use reasonable efforts to minimise disruption and provide advance notice where practicable.

For freemium and trial accounts, access may be subject to usage limitations, time restrictions, or feature limitations as specified in your account dashboard.

3. ACCOUNT REGISTRATION AND SECURITY

3.1 To access certain features, you must create an account by providing accurate, complete, and current information.

You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorised use or security breaches

You must not:
- Share your account credentials with unauthorised persons
- Create multiple accounts to circumvent usage limitations
- Use false or misleading information during registration

4. ACCEPTABLE USE

4.1 You agree not to:
- Use the Services for illegal, harmful, or unauthorised purposes
- Upload or transmit malicious software, viruses, or harmful code
- Attempt to gain unauthorised access to our systems or other users' accounts
- Reverse engineer, decompile, or attempt to extract source code
- Interfere with or disrupt the operation of the Services
- Access or attempt to access other customers' confidential data
- Resell, redistribute, or provide access to the Services to unauthorised third parties
- Use the Services to transmit spam, unsolicited communications, or marketing materials
- Violate any applicable laws, regulations, or third-party rights

4.2 You must not upload or make available through the Services any content that:
- Is obscene, defamatory, discriminatory, or promotes hatred
- Infringes intellectual property or other rights of third parties
- Contains personal data of minors
- Violates confidentiality obligations or applicable laws

4.3 We may suspend or terminate your access immediately if you breach these acceptable use provisions.

5. INTELLECTUAL PROPERTY

5.1 Revenue Labs retains all intellectual property rights in the Services, including software, algorithms, designs, and content. You receive only a limited licence to use the Services as permitted under these Terms.

5.2 You retain ownership of any data you upload ("Your Content"). By uploading Your Content, you grant us a licence to process it solely to provide the Services.

5.3 We may use aggregated, anonymised usage data for service improvement, analytics, and machine learning, in accordance with our Privacy Policy.

5.4 Our website content, including text, graphics, logos, and software, is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

6. DATA PROTECTION AND PRIVACY

6.1 We process personal data in accordance with UK data protection laws and our Privacy Policy, available at our privacy policy.

6.2 For data processing through connected systems, we act as a processor on your behalf. You remain the controller and are responsible for:
- Having lawful basis for processing personal data
- Providing necessary privacy notices to data subjects
- Obtaining required consents where applicable
- Ensuring compliance with applicable data protection laws

6.3 Our detailed data processing terms are set out in our Data Processing Addendum, available on request for paying customers or where required by applicable law.

7. FREEMIUM AND TRIAL LIMITATIONS

7.1 Freemium accounts are subject to usage limitations including but not limited to:
- Limited data processing capacity
- Restricted feature access
- Time-based limitations on certain functions
- Limited integration capabilities

7.2 Trial accounts may expire after a specified period and are intended for evaluation purposes only.

7.3 We may modify freemium limitations or trial terms at any time with reasonable notice posted on our website or platform.

7.4 Freemium and trial accounts are provided "as-is" without warranties or service level commitments.

8. PAYMENT AND SUBSCRIPTIONS

8.1 Paid services are subject to separate Service Agreements with specific pricing, payment terms, and service commitments.

8.2 Upgrades from freemium or trial accounts to paid subscriptions will be governed by the applicable Service Agreement.

8.3 We reserve the right to require payment information for account verification, even for free services.

9. TERMINATION

9.1 You may terminate your account at any time by following the account closure process in your dashboard or contacting us.

9.2 We may suspend or terminate your access immediately if you:
- Breach these Terms
- Engage in fraudulent or harmful activities
- Violate applicable laws
- Exceed freemium usage limitations

9.3 Upon termination:
- Your access to the Services ceases immediately
- You may export your data for 30 days (subject to technical limitations)
- We may delete your account and data in accordance with our data retention policies

10. DISCLAIMERS AND WARRANTIES

10.1 We provide the Services "as-is" without warranties of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10.2 We do not warrant that:
- The Services will be uninterrupted, timely, secure, or error-free
- Results obtained will be accurate or reliable
- Defects will be corrected
- The Services will meet your requirements

10.3 We use reasonable efforts to ensure service availability but cannot guarantee continuous operation due to dependencies on third-party systems and internet connectivity.

11. LIABILITY LIMITATIONS

11.1 We do not exclude liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

11.2 Subject to clause 11.1, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business, opportunity, or goodwill.

11.3 Our total liability arising from or relating to these Terms or your use of the Services is limited to fees paid by you in the 12 months preceding the claim, or £100 if no fees have been paid.

11.4 These limitations apply regardless of the legal theory on which a claim is based.

12. INDEMNIFICATION

12.1 You agree to indemnify and hold harmless Revenue Labs, its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Services
- Your breach of these Terms
- Your violation of applicable laws or third-party rights
- Your Content or data uploaded to the Services

13. THIRD-PARTY SERVICES AND LINKS

13.1 Our Services may integrate with or link to third-party platforms, websites, or services. We are not responsible for the availability, content, privacy practices, or terms of such third-party services.

13.2 Your use of third-party services is governed by their respective terms and privacy policies.

13.3 We may enable integrations with CRM systems, call recording platforms, and other business tools. You are responsible for ensuring you have appropriate permissions and rights to connect such systems.

14. COOKIES AND TRACKING

14.1 We use cookies and similar technologies to provide functionality, analyse usage, and improve our Services.

17.2 Entire Agreement: These Terms, together with our Privacy Policy and any applicable Service Agreements, constitute the entire agreement regarding your use of our website and Services.

17.3 Severability: If any provision is invalid or unenforceable, the remainder continues in effect.

17.4 No Waiver: Our failure to enforce any provision does not constitute a waiver of that or any other provision.

17.5 Assignment: You may not assign these Terms without our written consent. We may assign these Terms to affiliates or in connection with a merger or sale.

17.6 Force Majeure: Neither party is liable for delays or failures due to circumstances beyond reasonable control.
